These terms govern your use of the Striano Portal (the “Portal”), operated by Striano LLC, 721 US 1 suite 217, North Palm Beach, FL 33408, United States (“Striano”, “we”, “us”). By using the Portal you agree to them. If you use it for a company, you confirm you may bind that company.
1. The Portal
The Portal lets Striano’s clients and team manage software support requests, estimates, roadmaps, contracts, billing and invoicing. Features may change over time. Some features are available only to Striano’s staff.
2. Accounts and access
Access is by invitation. You must keep your credentials confidential and tell us at once if you suspect misuse. You are responsible for activity under your account. Roles limit what each person can see and do.
3. Your content
You keep ownership of the content you upload (requests, comments, attachments, documents and data). You give Striano a limited license to host, process and display it solely to provide the Portal and the services in your agreement with us. We treat your content as confidential, as described in our Privacy Policy and in your agreement with us.
4. Acceptable use
You agree not to: break the law; upload malicious code or content you have no right to share; try to access data that is not yours; probe, overload or interfere with the Portal; or share your access with people who have not been authorized.
5. AI-assisted features
Some features use artificial intelligence to propose classifications, estimates or fields read from documents. These are proposals: they may be incomplete or wrong. A person reviews and confirms before they are saved or sent. You remain responsible for the decisions you make using them.
6. Third-party services
The Portal connects to third-party services, including QuickBooks Online (Intuit), Azure DevOps, DocuSign and, for Argentina, ARCA electronic invoicing through TusFacturas. Those services have their own terms and can change or fail independently. We are not responsible for their availability or conduct.
7. Estimates, contracts and billing
The Portal records estimates, agreed contracts and the invoices issued by the Striano entity named in your contract. The Portal’s records support, and do not replace, your contract with us. Fees, payment terms and scope are set in your agreement with Striano.
8. Intellectual property
The Portal, its software and design belong to Striano or its licensors. These terms give you only a right to use it while you are authorized. Feedback you give us may be used to improve the Portal without obligation to you.
9. Availability and support
We work to keep the Portal available but do not guarantee uninterrupted or error-free operation. We may suspend it for maintenance or security.
10. Disclaimer
The Portal is provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the extent the law allows, Striano is not liable for indirect, incidental, special or consequential damages, or for lost profits or data, arising from the use of the Portal. Our total liability for any claim is limited to the amount you paid Striano for the Portal in the twelve months before the claim, unless your agreement with us says otherwise. Nothing here limits liability that cannot be limited by law.
12. Suspension and termination
We may suspend or end access if you breach these terms or the law, or if your agreement ends. You may stop using the Portal at any time. Sections that by their nature should survive will survive.
13. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Your agreement with Striano may set a different forum.
14. Changes
We may update these terms. We will post the new version with its date and notify account holders of material changes. Continuing to use the Portal means you accept them.
